Terms of Service

These Terms of Service ("Terms") are an agreement between you and MAKERS INNOVATIONS FOR DIGITAL MANUFACTURING, a limited liability company registered in Egypt (Commercial Registration No. 282508, 28 El Wasat Street, Helwan, Cairo, Egypt) ("UniPulse", "we", "us"). They govern your use of the UniPulse website, apps and services (the "Service").
1. Accepting these Terms
By creating an account or using the Service you accept these Terms and our Privacy Policy and Acceptable Use Policy. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and "you" includes that organisation.
2. Eligibility
The Service is for businesses and professionals. You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are barred from doing so under applicable law or if we have previously terminated your account for a breach of these Terms.
3. Your account
- Give accurate information and keep it up to date.
- Keep your password and sign-in methods secure. You are responsible for activity under your account.
- Tell us promptly at support@unipulse.tech if you believe your account has been compromised.
4. Workspaces and team members
Content and connections live in workspaces. The workspace Owner controls the workspace and who can access it, and is responsible for the conduct of the members they invite; Owners and Admins manage its subscription. Owners and Admins can connect and disconnect social accounts; roles (Owner, Admin, Editor, Viewer and custom roles) determine what each member can see and do. When a member leaves, content they created stays with the workspace.
5. The Service
UniPulse lets you connect your social media accounts and online stores to publish content, manage conversations with your customers, use AI assistance, view analytics and automate workflows. Features vary by plan, as shown on our pricing page. We continually improve the Service and may add, change or remove features; if we remove a feature that is material to a paid plan, we will tell you in advance where reasonably possible.
6. Subscriptions and payment
- Paid plans are paid in advance, one monthly billing period at a time, through our payment processors (Stripe, Paymob or Kashier). Prices and any applicable taxes are shown before you pay.
- Payments do not currently renew automatically: to keep a paid plan, pay for the next period. If we introduce automatic renewal, we will tell you before it applies to you.
- You can cancel at any time in Settings → Usage & Billing; you keep your paid plan for the period you have paid for.
- If a payment fails, the plan it was for is not activated.
- We may change prices for future billing periods. We will tell you before a price change applies to your subscription, and you can cancel before it takes effect.
- Refund requests are considered case by case — contact support@unipulse.tech. Nothing in these Terms limits any refund right you have under mandatory law.
7. Your content
You keep all rights to the content you upload or create in UniPulse and to the data from your connected accounts and stores ("Customer Content"). You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Content only as needed to provide the Service to you — for example to publish a post to the account you chose, or to send a message to an AI provider when you use an AI feature — and as described in our Privacy Policy. This licence ends when the content is deleted from the Service, subject to our backup retention period.
You are responsible for Customer Content and confirm that you have the rights and permissions needed to use it with the Service.
8. Connected platforms (Meta, TikTok, Google and others)
UniPulse works with third-party platforms through their official APIs. When you connect an account, you authorise UniPulse to access it on your behalf within the permissions you grant, and you agree to follow that platform's terms and policies, including the Meta Platform Terms, the Meta Developer Policies, Instagram's Terms of Use, the WhatsApp Business Terms of Service and Business Messaging Policy, and TikTok's terms.
- Connect only accounts you own or are authorised to manage, and only with the permission of the business that owns them.
- Platforms decide what their APIs allow and may change, restrict or withdraw access at any time. Features that depend on them may change or stop working as a result, and we are not responsible for a platform's decisions, outages or enforcement against your accounts.
- You can disconnect an account at any time; see Data Deletion.
- UniPulse is not affiliated with or endorsed by Meta, TikTok or Google.
9. Messaging your customers
If you use UniPulse to send messages through Messenger, Instagram or WhatsApp, you are the sender and you are responsible for those messages. In particular, you must:
- have the consent or other legal basis the law and the platform require before messaging a person — on WhatsApp, the opt-in required by WhatsApp's Business Messaging Policy;
- respect each platform's messaging windows and rules (for example the 24-hour customer service window, approved message templates and message tags) and honour opt-out, block and stop requests immediately;
- not send spam, bulk unsolicited messages or misleading content;
- make clear to people when they are talking to an automated system where the platform or the law requires it, and offer a way to reach a human.
Automated and AI-generated replies are sent according to the rules you configure. Review your automations; you are responsible for messages they send.
10. AI features
AI features generate suggestions and content using third-party AI models. AI output can be inaccurate, incomplete or inappropriate, and may resemble content produced for others. Review AI output before you publish or send it. You are responsible for the content you choose to use, and AI output is not professional, legal or financial advice.
11. Acceptable use
You must follow our Acceptable Use Policy, which forms part of these Terms. In short: no spam, no unlawful or harmful content, no unauthorised access to accounts or data, no scraping or harvesting, no circumventing platform rules or our technical limits, and no use of the Service to build a competing product.
12. Privacy and data protection
Our Privacy Policy explains how we handle personal data. When you use UniPulse to process personal data about your own customers and contacts, you decide why that data is processed and you are responsible for having a legal basis for it and for informing those people; we process it on your behalf to provide the Service. If you need a separate data processing agreement, contact support@unipulse.tech.
13. Suspension and termination
You can stop using the Service and delete your account at any time (see Data Deletion). We may suspend or terminate access to the Service, or to specific connected accounts or features, if you materially breach these Terms or the Acceptable Use Policy, if a platform requires it, if we must do so to comply with law, or to protect the Service, other users or the public. Where reasonable we will give notice and a chance to fix the problem first; we may act immediately in serious cases such as spam, fraud or security threats. You can contact support@unipulse.tech to dispute a suspension.
When an account or workspace is deleted, its data is deleted as described on the Data Deletion page and cannot be recovered. Export anything you need first.
14. Our intellectual property
The Service, its software, design and the UniPulse brand belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is active. Feedback you give us may be used to improve the Service without obligation to you.
15. Availability
We work to keep UniPulse available and secure, but we do not guarantee uninterrupted or error-free operation and do not offer a service-level agreement unless one is agreed in writing. Maintenance, platform outages and events outside our control may affect the Service.
16. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee any particular business result, such as reach, engagement or revenue.
17. Limitation of liability
To the extent permitted by law: we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill; and our total liability arising out of or relating to the Service in any twelve-month period is limited to the fees you paid us for the Service in that period. These limits do not apply to liability that cannot be limited by law, including liability for fraud or wilful misconduct.
18. Indemnity
To the extent permitted by law, you will indemnify us against third-party claims, and related losses and reasonable costs, arising from your Customer Content, your messages to your customers, or your breach of these Terms, the Acceptable Use Policy or a connected platform's terms.
19. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt. The competent courts of Cairo, Egypt, have jurisdiction over disputes arising from them, without prejudice to any mandatory consumer protection rights you have where you live. Before starting proceedings, please contact support@unipulse.tech so we can try to resolve the issue informally.
20. Changes to these Terms
We may update these Terms. We will show the date of the latest version at the top of this page, and for material changes we will notify account holders by email or in the app at least 14 days before they take effect. If you do not agree to the changes, stop using the Service and cancel before they take effect.
21. General
These Terms, together with the policies they refer to, are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them to a successor in a merger, acquisition or sale of assets. The English version governs if translations differ.
